Agility Robotics Goes Public in $2.5B SPAC Deal, Becoming First US-Listed Pure-Play Humanoid Maker

Agility Robotics will list on Nasdaq via a $2.5 billion SPAC merger, backed by more than $300 million in booked orders for its Digit humanoid and a new Digit v5 planned for 2026.

Agility Robotics is heading to Nasdaq through a $2.5 billion SPAC merger, a deal that makes the Oregon-based company the first pure-play humanoid robot maker to list on a US exchange and hands it more than $620 million in fresh capital for product development and manufacturing expansion.

Orders in hand, not just demos

Unlike many robotics ventures that have gone public on promise alone, Agility arrives with commercial traction: the company reports more than $300 million in booked orders for its Digit humanoid, which already works in logistics facilities for customers including major third-party warehouse operators.

The company plans to ship Digit v5, its next-generation robot, later in 2026. The new platform targets longer battery life, faster manipulation and expanded deployment beyond structured warehouse work.

A listing wave sweeps the sector

The SPAC deal is one leg of an extraordinary stretch in which three humanoid companies moved toward public markets almost simultaneously. Unitree Robotics won approval for its Shanghai STAR Market IPO targeting a valuation above $14 billion, while Tesla began converting a Fremont production line for its Optimus robot.

For US investors, Agility offers the first direct exposure to the humanoid thesis without buying a conglomerate. That scarcity value cuts both ways: the company will face quarterly scrutiny on unit shipments and margins in a sector where hardware costs remain punishing.

The bigger picture

Investor appetite for physical AI has surged as labor shortages bite across manufacturing and logistics. Whether the current generation of humanoids can deliver the reliability enterprises demand — at costs that undercut human labor — is the question the public markets will now price in real time.
